Seminar & Workshop on Directors' Liability

This seminar is primarily aimed at directors of Japanese subsidiaries of Belgian and Luxembourg companies, but it will be equally useful for directors of stand-alone Japanese companies. The purpose is for the directors to familiarize themselves with the functioning of a Japanese board and with the duties of directors. Once the general rules are understood, we will focus on identifying those situations in which directors should be particularly careful, including parent-subsidiary transactions, conflicts of interest, distress situations, etc. We will also address ways to limit liability exposure. The first half of the session will be a presentation, while the second half will be practical and interactive. Throughout the workshop we will use actual cases to illustrate the general principles.
 
Thomas De Muynck is a partner in the Tokyo office of Jones Day. He has practiced for more than ten years in Belgium, New York and Japan. He focuses on advising international clients on mergers and acquisitions, restructurings, joint ventures, private equity transactions, commercial contracts and corporate governance issues. He is listed as a leading Corporate/M&A lawyer in the 2010 and 2012 editions of Chambers Global and recommended in the 2011 edition of The Legal 500. He graduated from the K.U. Leuven, holds an LL.M. from Columbia University, and is admitted in Brussels and New York.
 
Yoshitake Masuda is an associate in the Tokyo office of Jones Day. He has more than 15 years experience in domestic and international business transactions, including M&A and joint ventures, general corporate matters, and international and domestic dispute resolution. He graduated from Waseda University and holds an LL.M. from the K.U. Leuven and from the University of Michigan. He is admitted in Japan
